Terms of Service

1. Definitions

  • “Service” means the applications, websites, APIs, and cloud infrastructure provided by Minicards.
  • “User Content” means data, text, or media submitted or generated by you through the Service.
  • “Service Entitlements” means paid features, usage limits, and premium access rights associated with your account.

2. Acceptance and Order of Precedence

By using the Service, you agree to these Terms. In the event of any conflict, the order of precedence shall be: (1) Terms of Service; (2) Privacy Policy; (3) Refund Policy.

3. User Content and License

You retain ownership of User Content. You grant Minicards a worldwide, royalty-free license to host, store, and process User Content solely for the purpose of operating and providing the Service.

  • AI Training: We do not use your User Content to train or improve AI models for any third party, except in aggregated and de-identified form solely for research and Service optimization.

4. License to Use the Service

We grant you a limited, revocable license for personal or internal business use. You shall not reverse engineer, resell, or interfere with system security.

5. Fees and Refunds

Usage of premium features requires a paid subscription. All payments are processed by our third-party partners. Our order and checkout process is conducted by our online resellers and Merchants of Record, Dodo Payments and Paddle.com, who also handle tax compliance, billing support, and order-related refund inquiries. 6. AI / MCP Functional Disclaimer

AI outputs are for informational purposes only and do not constitute professional advice. Minicards does not claim any ownership rights over AI-generated outputs.

7. Warranty Disclaimer

THE SERVICE IS PROVIDED “AS IS”. MINICARDS DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

8. Limitation of Liability

Nothing in these Terms shall limit or exclude liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability which cannot be limited or excluded by applicable law. Subject to the above, total aggregate liability shall not exceed the greater of: (a) USD $100; or (b) fees paid by you in the twelve (12) months preceding the claim.

9. Indemnification

You agree to defend and indemnify Minicards from claims arising from your use of the Service or violation of these Terms.

10. Termination

  • User Termination: You may terminate your account at any time via the App settings.
  • Company Termination: We may suspend access for material breach. Except in cases of fraud or security threats, we will provide 14 days’ notice to allow you to cure the breach.

11. Dispute Resolution

Governed by the laws of Hong Kong SAR. Disputes shall be resolved via HKIAC arbitration (Seat: Hong Kong; Language: English).

  • Small Claims Exception: Disputes involving less than USD $5,000 may be resolved in a competent small claims court.

12. General Provisions

  • Export Control: You comply with all applicable sanctions (e.g., U.S. OFAC).
  • No Waiver & Severability: Failure to enforce a right is not a waiver. If a clause is invalid, the rest remain in effect.
  • Assignment: We may assign our rights and obligations under these Terms without your consent, including in the event of a merger, acquisition, or sale of assets.
  • Force Majeure: We are not liable for any failure or delay caused by events beyond our reasonable control (e.g., natural disasters, large-scale internet outages).

13. Survival

Sections 3 (User Content and License), 6 (Disclaimer), 7 (Liability), 8 (Indemnity), 10 (Dispute Resolution), and this Section 12 shall survive any termination or expiration of these Terms.
